Acceptance of Terms

These Terms of Service govern your access to and use of the Sovereignty Infinium Intelligence Platform and related services, products, websites, and content provided by CryptoMize. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Acceptable Use Policy.

If you are entering into these Terms on behalf of an Organization, you represent and warrant that you have the authority to bind that Organization, in which case "you" refers to that Organization.

Eligibility

You must be at least 18 years old (or the age of digital consent in your jurisdiction) and otherwise legally capable of entering into a binding contract to use the Platform. The Platform is intended for use by Organizations and their authorized representatives.

Account Registration

To access certain features of the Platform, you may be required to register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update such information to keep it accurate, current, and complete
• Maintain the security of your account credentials and any API keys, tokens, or other access credentials issued to you
• Promptly notify us of any unauthorized use of your account or any other breach of security
• Accept responsibility for all activities that occur under your account, whether or not you authorized them

Use of the Service

License Grant. Subject to your compliance with these Terms and your paid engagement with CryptoMize, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your internal business or organizational purposes during the engagement term.

• Copy, modify, distribute, sell, assign, sublicense, or transfer the Platform or any portion thereof
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or non-public APIs, except to the limited extent applicable law expressly prohibits such restrictions
• Rent, lease, loan, or otherwise commercially exploit access to the Platform
• Remove, alter, or obscure any proprietary notices contained in the Platform
• Use the Platform to build or train a competing product or service, or to systematically extract data
• Access or use the Platform in violation of our Acceptable Use Policy
• Use the Platform in any manner that could disable, overburden, damage, or impair the Platform

Intellectual Property Rights

Our IP. As between you and CryptoMize, CryptoMize and its licensors retain all right, title, and interest in and to the Platform, including all intellectual property rights therein. The Platform is protected by copyright, trademark, patent, trade secret, and other intellectual-property laws.

Feedback. If you provide us with any Feedback, you hereby grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, and otherwise exploit the Feedback for any purpose.

User Content and Submissions

Your Responsibility. You are solely responsible for the User Content you submit to the Platform, including its legality, reliability, accuracy, and appropriateness.

License to Us. You grant CryptoMize a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, store, and display your User Content solely for the purpose of operating, securing, and improving the Platform and providing the Services to you.

Confidentiality

Each party (the Receiving Party) may receive non-public information of the other party (the Disclosing Party) that is identified as confidential or that should reasonably be understood to be confidential given the nature of the information. The Receiving Party will use the Confidential Information only to exercise rights and perform obligations under these Terms, will not disclose it to third parties except as permitted by these Terms, and will protect it with the same degree of care it uses to protect its own confidential information of like importance.

Prohibited Activities

When using the Platform, you agree not to engage in any activity described in our Acceptable Use Policy, which is incorporated by reference into these Terms. Without limiting that Policy, you agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Infringe or misappropriate the intellectual property, privacy, or other rights of any third party
• Upload, transmit, or process any content that is unlawful, harmful, defamatory, obscene, harassing, hateful, or otherwise objectionable
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform
• Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission
• Probe, scan, or test the vulnerability of the Platform, breach any security or authentication measures
• Circumvent, disable, or otherwise interfere with security-related features of the Platform
• Encourage or enable any other person to do any of the foregoing

Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by CryptoMize. We do not endorse and are not responsible for the availability, accuracy, content, privacy practices, or legality of any such third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. CRYPTOMIZE AND ITS LICENSORS EXPRESSLY DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, CryptoMize makes no warranty that the Platform will be uninterrupted, secure, free of harmful components, or error-free; that any defects will be corrected; or that the Platform will meet your particular requirements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CRYPTOMIZE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CRYPTOMIZE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM EXCEED THE AMOUNTS PAID BY YOU TO CRYPTOMIZE UNDER YOUR ENGAGEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR, IF YOU HAVE NOT PAID ANYTHING, ONE HUNDRED U.S. DOLLARS (USD $100).

Indemnification

You will defend, indemnify, and hold harmless CryptoMize and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) your violation of any rights of a third party.

Termination

By You. You may stop using the Platform at any time. If you have an account, you may terminate your account by following the instructions on the Platform or contacting us.

• By Us. We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including if we reasonably believe that you have violated these Terms, that continued provision would create a security or legal risk, or that we are required to do so by law.
• Effect of Termination. Upon termination: (a) all rights granted to you under these Terms will immediately cease; (b) you must promptly stop using the Platform; and (c) provisions of these Terms that by their nature should survive termination will survive.

Governing Law and Dispute Resolution

These Terms are governed by, and construed in accordance with, the laws of the jurisdiction specified in your engagement documentation, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, will be determined exclusively in the courts located in the jurisdiction specified in your engagement documentation.

Changes to Terms

We may modify these Terms from time to time. If we make a material change, we will update the "Last updated" date and, where appropriate, notify you through the Platform or by other means. Your continued access to or use of the Platform after the effective date of any change constitutes your acceptance of the modified Terms.
